13.4.This Agreement,including its Annexes and the documents and instruments referred to herein,embodies the entire agreement and understanding of the parties hereto in respect of the subject matter contained herein.There are no restrictions,promises,representations,warranties,covenants,or undertakings,other than those expressly set forth or referred to herein.This Agreement supersedes all prior agreements and understandings between the parties with respect to such subject matter.
13.5.No amendment or waiver of any provision of this Agreement shall be effective unless in writing.No failure to exercise nor any delay in exercising on the part of either party hereto of any right or remedy hereunder shall be regarded as a waiver or impairment thereof,nor shall it affect or impair any of either party's powers or rights in respect of any subsequent default.The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies provided by law.
